Terms and Conditions

By opting in to the Premium Membership on the Motivated Seller Exchange website, you (“Member”) agree to the following Terms of Service (“Agreement”) with Real Agent LLC, a Wyoming limited liability company doing business as Motivated Seller Exchange (“Company”, “we”, “us”, or “our”).

This Agreement is legally binding and governs your use of the Motivated Seller Exchange Premium Membership.

1. SERVICE DESCRIPTION

The Premium Membership provides real estate professionals with access to a digital platform that connects agents to motivated seller leads. Membership benefits include:

  • Priority access to inbound seller leads

  • Dashboard tools to manage lead flow

  • Opportunities for listings and referral business

  • Access to internal marketing templates, scripts, and training

  • Options to expand to additional counties

Important: We do not guarantee any specific number or quality of leads, listings, or closed transactions. Membership access may be modified or revoked at our discretion.

2. MEMBERSHIP FEES, TRIAL, & BILLING

  • Monthly Fee: $97/month

  • Free Trial: 14-day free trial for new Premium Members

  • Billing: Automatically charged via Stripe at the end of the 14-day trial and every 30 days thereafter, unless canceled per our policy below

Cancellation Policy:

  • You may cancel during your free trial at any time via email to [email protected] to avoid being charged.

  • After the trial period, cancellation requires at least 10 days’ written notice prior to your next billing cycle.

  • No refunds are issued for partial months, dissatisfaction, or unused leads.

3. CHARGEBACK & DISPUTE POLICY

You agree not to initiate a chargeback or dispute through your bank or card issuer without first contacting us directly at support@motivatedsellerexchange.com. If a dispute is initiated in bad faith:

  • We may submit your IP activity logs, referral agreements, and lead data to your card issuer

  • Your membership may be immediately terminated

  • Access to all leads and resources will be revoked

You accept full responsibility for managing your subscription and understanding our cancellation procedures.

4. LEAD OWNERSHIP, USAGE & RESTRICTIONS

  • All leads remain the property of Real Agent LLC

  • Leads may not be shared, transferred, sold, or referred to any third party

  • If you opt not to pursue a lead, you must return it via the platform or email

  • Redistribution or mishandling of leads is grounds for termination and legal action

5. REFERRAL FEES

You agree to the following referral fees on closed transactions from leads provided:

  • Listings:

  • 35% of gross commission for free members

  • 30% for Premium members

  • If you purchase or wholesale the property:

  • 1% of sales price (free members)

  • ¾% of sales price (Premium members)

These fees are further defined in our separate Referral Agreement, which must be signed prior to lead access.

6. LEAD REPORTING REQUIREMENTS

You must update each assigned lead’s status at least once every 7 days. Failure to comply may result in:

  • Lead removal

  • Suspension or termination of lead access

  • Cancellation of your Premium Membership without refund

7. LICENSING REQUIREMENTS

By joining, you certify:

  • You are a licensed real estate agent in good standing

  • You are authorized to conduct business in your coverage area

  • You will notify us immediately if your license status changes

8. INTELLECTUAL PROPERTY PROTECTION

All scripts, templates, tools, and processes within Motivated Seller Exchange are proprietary. You may not:

  • Copy, replicate, or reverse-engineer our materials

  • Share or distribute any content without written consent

9. INDEMNIFICATION

You agree to indemnify and hold harmless Real Agent LLC, its team, and affiliates against any claims or liabilities resulting from:

  • Your interactions with leads

  • Violations of real estate or telemarketing laws

  • Licensing infractions or breaches of fiduciary duty

  • Misuse of the platform or its materials

10. TERMINATION FOR NON-COMPLIANCE

We reserve the right to suspend or terminate your membership for any of the following:

  • Failing to report lead activity

  • Unauthorized sharing of lead data

  • Licensing misrepresentation

  • Violating any provision of this Agreement

  • Initiating a chargeback without prior contact

11. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement is governed by the laws of Wyoming, and any dispute shall be resolved in Natrona County, Wyoming.

You agree to:

  1. Attempt mediation in good faith

  2. If unresolved, proceed to binding arbitration through the American Arbitration Association

  3. Bear your own legal fees unless otherwise decided by the arbitrator

12. UPDATES & MODIFICATIONS

We reserve the right to update these Terms with 7 days’ notice. Continued use of your Premium Membership after notice constitutes acceptance.

13. CONSENT & AGREEMENT

By checking the box during registration, you acknowledge:

  • You have read and understood this Agreement

  • You agree to all terms listed above

  • You confirm your license status and agree to comply with local laws and referral terms
